Terms of Service

1. Acceptance of Terms

By accessing or using Onira at onira.studio (the “Service”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, you must not use the Service.

2. Definitions

  • “Service” — the Onira platform, website, applications, and all related features.
  • “User,” “you,” “your” — any individual or entity that accesses or uses the Service.
  • “User Content” — any prompts, scripts, text, images, or other materials you submit to the Service.
  • “AI Output” — any video, audio, images, scripts, or other content generated by the Service using AI models in response to your User Content.
  • “Subscription” — a paid plan granting access to the Service for a specified billing period.
  • “Credits” — the minutes of video generation included in your Subscription plan.

3. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Account Responsibilities

When you create an account, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. You may not share your credentials or allow multiple people to use a single account, except as permitted by your Subscription plan.

5. Description of Service

Onira is an AI-powered video production platform that transforms text prompts into finished videos. The Service uses multiple third-party AI models — including Google Gemini, ElevenLabs, Kling, Hailuo, Veo, and Grok — to generate scripts, narration, music, images, and video footage. Videos are assembled automatically and delivered to you for download.

The quality, style, and accuracy of AI Output may vary. AI models are provided by third parties, and Onira does not control their underlying behaviour. Onira may substitute, add, or remove AI models at its discretion to maintain or improve the Service.

6. License to Use the Service

Subject to your compliance with these Terms and your active Subscription, Onira grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or commercial use during your Subscription term.

6.1 License Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Scrape, crawl, or automatically extract data from the Service.
  • Resell, sublicense, or provide access to the Service to third parties.
  • Use the Service to build a competing AI video generation product.
  • Bypass or circumvent usage limits, rate limits, or security measures.
  • Remove or obscure any proprietary notices in the Service.

7. Ownership of AI-Generated Output

You own all rights to videos generated through your use of Onira, subject to applicable law. Onira assigns to you all rights, title, and interest in the AI Output generated from your User Content, to the extent such rights are assignable.

Important caveats:

  • The copyright status of AI-generated content varies by jurisdiction and is evolving. Some jurisdictions may not recognise copyright in purely AI-generated works.
  • Similar prompts by different users may produce similar or identical output. Onira does not guarantee the uniqueness of any AI Output.
  • Your ownership rights are subject to the terms of the third-party AI model providers used to generate the content.

8. License to Onira (User Content)

By submitting User Content, you grant Onira a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Content solely for the purpose of delivering the Service — including sending prompts to third-party AI models and assembling the resulting output. This license terminates when you delete your account, subject to our data retention periods.

We do not use your User Content or AI Output to train AI models.

You represent and warrant that you have all necessary rights to the User Content you submit and that it does not infringe on any third party's rights.

9. Onira's Intellectual Property

The Service, including its software, code, design, user interface, branding, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of Onira. Nothing in these Terms grants you any rights to Onira's intellectual property beyond the limited license in Section 6.

10. Acceptable Use

You agree not to use the Service to create, generate, or distribute content that:

  • Is illegal under any applicable law.
  • Constitutes or facilitates the creation of deepfakes — realistic depictions of real persons without their explicit consent.
  • Impersonates any real person without their explicit consent.
  • Contains child sexual abuse material (CSAM) or exploits minors in any way.
  • Promotes hate speech, harassment, violence, or violent extremism.
  • Is designed to spread disinformation or mislead the public about real events, including election misinformation.
  • Infringes on copyrights, trademarks, or other intellectual property rights of third parties.
  • Contains sexually explicit or pornographic material.
  • Is used for medical, legal, financial, or safety-critical purposes without appropriate human review.
  • Distributes malware or disrupts the Service in any way.

Onira reserves the right to review, remove, or disable access to content that violates this policy, and to suspend or terminate accounts engaged in prohibited use without notice.

11. AI Output Disclaimers

AI-generated content may contain inaccuracies, biases, or unintended material. You are responsible for reviewing all output before publication.

  • AI Output may contain factual errors, visual artifacts, or unintended representations.
  • AI Output may unintentionally resemble copyrighted works, real persons, or trademarked material.
  • Output quality, style, and content may vary between generations — identical prompts may produce different results.
  • AI models are provided by third parties. Onira does not control and is not responsible for their behaviour, biases, or limitations.
  • You must review all AI Output before publishing, distributing, or using it commercially.

12. Copyright Disclaimer

Onira does not guarantee that AI-generated visuals are free from similarity to copyrighted works. AI models are trained on large datasets and may produce output that resembles existing copyrighted content. You are solely responsible for clearing any necessary rights before using AI Output commercially. If you receive a copyright claim related to AI Output, Onira is not liable. Other users may receive similar or identical output from similar prompts.

13. YouTube and Third-Party Platform Disclaimer

Onira does not guarantee that AI-generated videos will comply with any third-party platform's policies, including YouTube's monetization requirements.

  • If a video is demonetized, claimed, or removed by a platform, Onira bears no liability.
  • You are responsible for complying with each platform's content policies, including YouTube's AI-generated content disclosure requirements.
  • Platforms may change their policies regarding AI-generated content at any time. Revenue loss resulting from such changes is not Onira's responsibility.
  • Onira does not guarantee monetization eligibility on any platform.

14. Subscriptions and Billing

14.1 Plans and Pricing

Onira offers the following Subscription plans (prices are in USD):

  • Creator — $79/month (30 minutes of video per month).
  • Studio — $199/month (100 minutes of video per month).

Annual plans are available at a discounted rate. Enterprise pricing is available on request.

14.2 Billing and Auto-Renewal

Subscriptions are billed in advance on a monthly or annual basis and renew automatically at the end of each billing period. You authorise Onira to charge your payment method on file for all applicable fees. Payments are processed by Stripe. All prices are exclusive of applicable taxes unless stated otherwise.

14.3 Credits and Usage

Each Subscription plan includes a monthly allowance of video generation minutes (“Credits”). Unused Credits do not roll over to the next billing period. Credits have no cash value and are non-transferable.

15. Refunds and Cancellation

15.1 Cancellation

You may cancel your Subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. No prorated refunds are issued for partial billing periods.

15.2 EU Right of Withdrawal

If you are a consumer in the European Union, you have a 14-day right of withdrawal from the date of purchase. However, by beginning to use the Service (e.g., generating your first video), you acknowledge that you waive your right of withdrawal for that billing period, as the digital content has been fully provided. If you have not used the Service during the 14-day withdrawal period, you may request a full refund by contacting us.

15.3 Refund Policy

Fees are non-refundable once Credits have been used. Refunds for unused service may be issued at Onira's discretion. To request a refund, contact hello@onira.studio.

16. Service Availability and Third-Party Dependencies

The Service depends on third-party AI providers, hosting infrastructure, and internet connectivity. Onira does not guarantee uninterrupted or error-free availability. If a third-party AI provider experiences downtime, API changes, or discontinuation, the Service may be temporarily unavailable or certain features may be affected. Onira is not liable for service disruptions caused by third-party providers.

17. Service Modifications

Onira reserves the right to modify, update, or discontinue any feature, AI model, pricing structure, or the entire Service at any time. For material changes (including pricing increases), we will provide at least 30 days' advance notice via email or in-app notification. Continued use after changes take effect constitutes acceptance of the updated Terms.

18. Suspension and Termination

18.1 Termination by You

You may cancel your account and stop using the Service at any time.

18.2 Termination by Onira

We may suspend or terminate your account if you breach these Terms, create prohibited content, engage in fraudulent activity, fail to pay applicable fees, or at our discretion with reasonable notice. We will provide advance notice where reasonably possible, except in cases of severe violations (e.g., CSAM, illegal activity).

18.3 Effect of Termination

Upon termination, your license to use the Service ceases immediately. You will have 30 days after termination to download any AI Output stored in your account. After this period, your data will be deleted in accordance with our Privacy Policy. Your ownership of previously generated AI Output survives termination.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

Onira does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) AI Output will be accurate, original, non-infringing, or suitable for any purpose; (c) any defects will be corrected; or (d) the Service will meet your specific requirements.

Nothing in these Terms limits or excludes any rights that cannot be excluded or limited under applicable law, including EU consumer protection laws.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONIRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ONIRA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

IN NO EVENT SHALL ONIRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF REVENUE FROM VIDEO DEMONETIZATION, THIRD-PARTY AI PROVIDER FAILURES, OR DOWNSTREAM CONSEQUENCES OF USING AI-GENERATED CONTENT.

These limitations apply regardless of the theory of liability and even if Onira has been advised of the possibility of such damages. Nothing in this section excludes liability that cannot be excluded under applicable law.

21. Indemnification

You agree to defend, indemnify, and hold harmless Onira and its founder, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your User Content; (c) your use, publication, or distribution of AI Output; (d) your violation of these Terms; or (e) your violation of any applicable law or third-party rights. This indemnification obligation may be limited for consumers to the extent required by applicable EU consumer protection law.

22. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Spain.

Before filing any legal claim, you agree to attempt informal resolution by contacting us at hello@onira.studio. We will attempt to resolve the dispute within 30 days.

If you are a consumer in the EU, you retain all mandatory consumer rights under the laws of your country of residence, and nothing in these Terms limits those rights.

23. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet or telecommunications outages, third-party AI provider outages or API changes, AI safety shutdowns, power failures, or acts of war or terrorism.

24. Export Controls

You agree to comply with all applicable export control laws and sanctions regulations. The Service may not be accessed or used from sanctioned countries or by sanctioned individuals.

25. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Onira a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback without compensation or attribution.

26. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email or by posting a prominent notice on the Service. The “Effective date” at the top of this page indicates when this version was last updated. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

27. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Onira regarding the Service and supersede all prior agreements, representations, and understandings. No waiver of any provision shall be deemed a continuing waiver or a waiver of any other provision. Onira may assign these Terms without your consent. You may not assign your rights or obligations under these Terms without Onira's written consent.
